Anotace knihy

The corporate governance of subsidiaries in multinationalgroups of companies has become increasingly important for managersand researchers, particularly through the developments aroundclassical corporate governance in the last years. This bookinvestigates for the first time comprehensively a topic, whichresearch has addressed only sporadically so far. It reviewsestablished theories and empirical findings from classicalcorporate governance, and applies them to subsidiaries, therebydescribing and delineating the topic and deducing the availabilityand efficiency of governance mechanisms for subsidiaries. A dataseton multinational groups, surveyed at IMD International, is employedto test hypotheses from the theoretical analysis, and the findingsare combined with those from a series of executive interviews. Thecore result is that mechanisms of classical corporate governanceare, by and large, unavailable or inefficient for subsidiaries, andalternative solutions are employed in practice. Overall, subsidiarygovernance is found to be of strategic importance for multinationalgroups, and the book brings forward recommendations for managerialpractice.
